When you sign up for Vallon Digital’s marketing services, you’ll be part of a larger collective ad spend model. This means your campaign benefits from a combined marketing budget that increases as more businesses join our platform. Here’s how it works:
Traffic and Results
While traffic generation is our primary objective, results may not happen overnight. The performance of Google Ads, Facebook posts, and your business’s placement in the Business Hub will improve progressively over time as more data is gathered. We operate on a momentum-based model, which means that as more businesses join, the more refined and targeted your advertising becomes. However, we cannot guarantee immediate sales or traffic.

Intellectual Property
The intellectual property in the materials contained in this website are owned by or licensed to Vallon Digital and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

behaviour towards Vallon-Digital and/ or its representatives, fails to follow program guidelines, or impairs Vallon-Digital's ability to perform services.
Liability
Vallon-Digital is not liable if the Client’s ad account, profile, or business page ,Website is disabled, deactivated, negatively effected or banned by Google and/ or other web-based platforms, if that platform does not approve our ads, forces us into the special ads category, or otherwise prevents us from providing service.
The Client understands that as the account holder, they are responsible for filing appeals with platform under such circumstances as named in the paragraph above, under Vallon-Digital's guidance and advice.
In no event shall either party be liable to the other party, or be deemed to have breached this agreement, for any failure or delay in performing its obligations under this agreement (except for any obligations to make payments for services already rendered), if and to the
extent such failure or delay is caused by any circumstances beyond either party's reasonable control, including but not limited to acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot or other civil unrest, strikes, labor stoppages or slowdowns or other industrial disturbances, or passage of law or any action taken by a governmental or public authority, including imposing an embargo.
Right to Terminate
We may suspend or terminate your right to use our website or services and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.
Severance
Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

While we strive to provide accurate and effective advice, Vallon - Digital cannot guarantee the success of any strategy or recommendation. As with any business endeavor, there are inherent risks, and outcomes can vary.
You agree that Vallon-Digital will not be held liable for any losses, damages, or adverse outcomes that may arise from the use of our advice, strategies, or services. We encourage you to consider our guidance carefully and, where necessary, seek additional professional opinions to ensure it aligns with your specific business needs and goals.
Privacy & Confidentiality
No part of the Client’s confidential and proprietary information, ideas, business plans, and trade secrets (collectively "Confidential Information") shall be shared outside of Vallon-Digital without the Client’s express knowledge and approval. Vallon-Digital has no right and license to use any of the Client’s data, assets, or materials outside the term of the agreement, and only to the extent necessary to provide the services to the Client.
The reproduction, distribution, and sale of Vallon-Digital's strategies, assets, and materials by anyone but Vallon-Digital is strictly prohibited. The Client shall not infringe any of Vallon-Digital's copyright, patent, trademark, trade secrets, or other intellectual property rights.
All provided materials, assets, strategies, and Confidential Information shared by Vallon-Digital and/ or its representatives belong solely and exclusively to Vallon-Digital, and may only be used by the
Client as authorized by Vallon-Digital.
Terms of Sale
You, the Client, hereby ratify your understanding that all program sales are final, non-refundable, and waive any right to file a chargeback on your authorized payment with your credit card processor.
Upon severance of the relationship between Vallon-Digital and the Client, each party shall return to the other party all documents and materials tangible and intangible containing, reflecting, incorporating, or based upon the other party’s Confidential Information, and certify their
compliance with the requirements of this clause in writing to the other party. All ads, campaigns & intellectual property created by the Vallon-Digital team will be deleted from the Client’s ad account under circumstances of non-payment as per the terms of this agreement.
This agreement constitutes the complete and exclusive agreement between Vallon-Digital and you, the Client. It supersedes all prior written and/ or oral statements, conditions, obligations, representations, or warranties.
Both parties waive their right to a jury trial.
Terms of Payment
I represent and warrant that I am authorized to execute payment authorization for the purpose of implementing the agreed-upon payment plan. I understand that if any payments within the agreed upon
payment schedule above should fail to process, the payment schedule and/or payment amounts would be adjusted to accommodate the recoupment of such failure.
